Corporate Governance and Ethics Essay -- Business Ethics

As a CEO of a corporation there is nothing more rewarding then maximizing the wealth of your shareholders, in addition, to increasing the value of the firm. However, it should not be done unethically and jeopardize the financial, social status as well as the reputation of the company, ultimately causing them to suffer in the end. There are systems put into place to avoid such acts that are generally overseen by the board of the directors of organization. In most companies the board of directors consists of shareholders or former employees of the company. Due to the recent scandals in corporate America many companies have acted quickly in actually implementing rules and regulations. They are sometimes referred to as the ethical codes. In this paper I will discuss the importance of corporate governance and ethical codes within a corporation. How has the recent crackdown changed corporate America? Has there been an improvement? Does the gender of top management have an impact on t he company’s performance? Are we able to determine if independent directors influence the social responsibility and corporate governance of the organization? I will attempt to address these issues throughout this paper. â€Æ' Analysis/Critical Evaluation Corporate Governance is defined as a system that has been established to direct and control companies and I controlled by, (QFinance – The Ultimate Resource, 2009, para. 1.), the board of directors, who must abide by rules and regulations, while implementing such a system. In college we must manage our time carefully and responsibly as we reach for what we plan to do. With as we grow older, the responsibilities grow up and always we have the feeling that the day is too short. For that we must be careful in taking our decision. The attendance is very important in high school. School attendance is a baseline factor in determining student success. You can't miss from the class without a good explanation. In college we want to be there every time, not to lose the main idea of the course and learn something new every day and apply to the next chapter.In high school we are some bored kids who hint that all that glitters is gold and nobody can tell us what to do with it. We just don't have any motivation to remain in the classes and wait to hear the bell so we can meet with our friends from other classes. As children, think that is one of the reason why we go to school. We can still find a lot of differences, but you may just be missing some importance in opi nions. Each has different conclusion on the topic. I have to manage my time very carefully because with a full time job and evening classes I need a good rest and sleep enough to be responsible and competent for the next day.For me it's important participation in school and concentrate on the course so can continue my study at home and know what have to work. I have my own motivation and am not forced by anyone to continue my studies. I prefer to study to enrich my vocabulary words and have a good package of knowledge to be prepared for the future and to have a greater chance of finding a better job. Everyone knows that people in high school and college could not be apart.

The son of Marcus Aurelius,’ Commodus Antoninus, came to power in the wake of his father’s death in March of 180 CE. From the death of Marcus Aurelius came the end to the Five Good Emperors. Commodus’ reign lasted from 180 to 192 CE and he described it as a â€Å"golden age.† (cite) However, this was far from the truth. Commodus succumbed to the lure of self-indulgence and become a megalomaniac. Along with those two flaws, he also held deep antagonism against the Senate. (cite) Arguably, the two most important aspects of his reign was: his identification with the demigod Hercules and his participation in gladiatorial games. Commodus thought himself as a reborn Hercules, he appeared in public places donned in a lion hide cloak. It was a reference to the Nemean Lion that Hercules fought in his twelve labors.(cite) And even in the arena, a horror to the senate but possibly to the delight of the plebs, he wore this fighting. But there was a belief held strong ly by the elite that Roman Emperors were not supposed to do this. But his love for the games was so immense he partook in them regardless of their beliefs. Commodus participated in the gladiatorial games for his own self-indulgence and fantasies about being Hercules. To Roman elite, seeing the Emperor do this was appalling because gladiators were not supposed to be high class; they were slaves or prisoners, and this is reason the Roman elite disliked his behavior.
